Simpson Thacher & Bertlett and Wilson Sonsini Goodrich & Rosati are cashing in on the $26.2bn (£18.4bn) acquisition of professional social networking website LinkedIn by tech giant Microsoft. Simpson Thacher deployed New York partners Alan Klein and Anthony Vernace while Greg Grogan advised on executive compensation and employee benefits matters. Silicon Valley-based partner Bill Brentani provided counsel on securities issues, while further support was provided by the firm on derivatives, litigation and tax matters. Simpson Thacher has for a long time advised Microsoft, including on the £4.6bn acquisition of Nokia mobile in 2013 as well as the $8.5bn purchase of Skype in 2011.
On the other side of the deal, Wilson Sonsini represented LinkedIn with Katharine Martin, Martin Korman and Bradley Finkelstein leading the team. Similarly to Microsoft, LinkedIn has used longstanding legal advisor Wilson Sonsini, recently on its $1.5bn acquisition of the online learning company lynda.com.
