New York based Simpson Thacher & Bartlett and Davis Polk & Wardell as well as Swiss firm Bär & Karrer have each gained advisory roles on the $43bn bid made by China National Chemical Corp (ChemChina) for Swiss seeds and pesticides group Syngenta. Should this deal follow through, it will mark the largest ever acquisition by a Chinese company. State owned ChemChina will be instructing Simpson-Thacher on the M&A, acquisition finance and regulatory aspects of the deal, deploying a number partners from a range of office locations, including New York, Beijing, Houston and London. Davis Polk will be acting for Syngenta, while the company will also be seeking advise from fellow Swiss firm Bär & Karrer.
HSBC is arranging the debt financing for the deal with Linklaters acting as their legal counsel. Fellow magic circle firm Clifford Chance is also obtaining a slice of the deal through its counsel of China CITIC bank, ChemChina’s financial advisor. Clifford Chance previously worked with ChemChina on their $7.7bn acquisition of Italian tire manufacturer Pirelli
